Pr\u00e9ambule &#8211; Objet<\/p>\n<p>Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente (\u00ab CGV \u00bb) s\u2019appliquent de plein droit \u00e0 toutes relations commerciales entre la soci\u00e9t\u00e9 \u00ab LITTLE GRAND STUDIO \u00bb dont le si\u00e8ge social est situ\u00e9 7 Rue des Bergeries &#8211; 93300 Aubervilliers, immatricul\u00e9e sous le num\u00e9ro 794 556 001 RCS Bobigny (la \u00ab Soci\u00e9t\u00e9 \u00bb ou le \u00ab\u00a0Studio\u00a0\u00bb) et toute personne, ou entreprise (le \u00ab Client \u00bb) (ci- apr\u00e8s d\u00e9sign\u00e9es ensemble, les \u00ab Parties \u00bb).<\/p>\n<p>Elles ont pour objet de d\u00e9finir les conditions dans lesquelles la Soci\u00e9t\u00e9 fournit des prestations techniques, audiovisuelles ou \u00e9v\u00e8nementielles \u00e0 ses Clients (la ou les \u00ab\u00a0Prestation(s)\u00a0\u00bb), le cas \u00e9ch\u00e9ant, dans ses locaux (les \u00ab Locaux \u00bb).<\/p>\n<p>Elles pr\u00e9cisent notamment les conditions de location, de commande et de paiement pour la location des Locaux, du mat\u00e9riel et de toutes Prestations fournies par le Studio. Le Client d\u00e9clare avoir pris connaissance des CGV pr\u00e9alablement \u00e0 toute commande. Il est entendu que l\u2019acceptation par le Client d\u2019un devis \u00e9tabli par la Soci\u00e9t\u00e9 (le \u00ab Devis \u00bb), la passation d\u2019une Commande dat\u00e9e et sign\u00e9e, le paiement d\u2019un acompte ou le d\u00e9but d\u2019ex\u00e9cution d\u2019une Prestation implique l\u2019acceptation des CGV.<\/p>\n<p>La Soci\u00e9t\u00e9 se r\u00e9serve le droit de modifier les CGV \u00e0 tout moment.<\/p>\n<p>Elles seront de plein droit applicables \u00e0 toutes Commandes pass\u00e9es post\u00e9rieurement \u00e0 la modification. Les pr\u00e9sentes CGV sont compl\u00e9t\u00e9es par le(s) Devis. Seules les conditions particuli\u00e8res pouvant figurer dans le(s) Devis, en ce qu\u2019elles pr\u00e9valent sur les CGV en cas de discordance ou de contrari\u00e9t\u00e9, pourront venir d\u00e9roger aux stipulations des CGV.<\/p>\n<p>Article 2. D\u00e9finitions<\/p>\n<p>Les termes ci-dessous commen\u00e7ant par une majuscule auront la signification suivante\u00a0:<\/p>\n<p>Call Sheet\u00a0: d\u00e9signe la feuille de route pr\u00e9cisant les noms et fonctions des personnes pr\u00e9sentes sur le plateau lou\u00e9.<\/p>\n<p>CGV\u00a0: d\u00e9signe les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente r\u00e9gissant les relations entre les Parties.<\/p>\n<p>Client\u00a0: d\u00e9signe l\u2019entreprise effectuant une Commande, soit en faisant une R\u00e9servation ferme, soit en posant une Option en vue d\u2019une R\u00e9servation ult\u00e9rieure, avec ou sans Prestations compl\u00e9mentaires.<\/p>\n<p>Commande\u00a0: d\u00e9signe la R\u00e9servation, ou l\u2019Option en vue d\u2019une confirmation ult\u00e9rieure de la R\u00e9servation, effectu\u00e9e par le Client, avec ou sans Prestations compl\u00e9mentaires.<\/p>\n<p>Devis\u00a0: d\u00e9signe la proposition chiffr\u00e9e \u00e9tablie par le Studio \u00e0 la demande du Client.<\/p>\n<p>Fiche de plateaux\u00a0: d\u00e9signe la fiche d\u00e9taillant le mat\u00e9riel et les Prestations demand\u00e9es par le Client.<\/p>\n<p>Locaux\u00a0: d\u00e9signe les lieux lou\u00e9s par le Studio au Client.<\/p>\n<p>Option\u00a0: d\u00e9signe le ou les choix de date(s) op\u00e9r\u00e9(s) par le Client en vue de la confirmation ult\u00e9rieure de la R\u00e9servation, le cas \u00e9ch\u00e9ant.<\/p>\n<p>Parties\u00a0: d\u00e9signe la Soci\u00e9t\u00e9 et le Client.<\/p>\n<p>Prestations\u00a0: d\u00e9signe les prestations de services offertes par le Studio.<\/p>\n<p>R\u00e9capitulatif\u00a0: d\u00e9signe la pr\u00e9-facture r\u00e9capitulant toutes les d\u00e9penses li\u00e9es au tournage et communiqu\u00e9e pour validation au Client avant \u00e9tablissement de la facture finale.<\/p>\n<p>R\u00e9servation\u00a0: d\u00e9signe la r\u00e9servation ferme de Studio effectu\u00e9e par le Client.<\/p>\n<p>Studio\/Soci\u00e9t\u00e9\u00a0: d\u00e9signe la soci\u00e9t\u00e9 LITTLE GRAND STUDIO, telle que vis\u00e9e en t\u00eate des pr\u00e9sentes CGV.<\/p>\n<p>Article 3. Devis et acceptation<\/p>\n<p>3.1 Devis<\/p>\n<p>Toute Commande par le Client donne lieu \u00e0 l\u2019\u00e9tablissement d\u2019un Devis.<\/p>\n<p>Les Devis ne peuvent \u00eatre transf\u00e9r\u00e9 \u00e0 un autre Client sans l\u2019accord pr\u00e9alable du Studio.<\/p>\n<p>Si un transf\u00e8re est accept\u00e9, le Devis initial ne sera plus valable et un nouveau Devis sera \u00e9dit\u00e9.<\/p>\n<p>Avant confirmation de tout Devis, le Client est tenu d\u2019en v\u00e9rifier l\u2019exactitude et de signaler imm\u00e9diatement toute erreur, notamment concernant les quantit\u00e9s, r\u00e9f\u00e9rences et tailles du mat\u00e9riel demand\u00e9.<\/p>\n<p>Apr\u00e8s validation du Devis, aucune modification ou annulation ne sera possible sauf en cas d\u2019accord \u00e9crit du Studio.<\/p>\n<p>La location du studio, du mat\u00e9riel et de toute autre Prestation demand\u00e9e par le Client sur le Devis seront automatiquement factur\u00e9s.<\/p>\n<p>Tous les Devis ont une dur\u00e9e de validit\u00e9 de 15 jours.<\/p>\n<p>3.2 Bon pour accord<\/p>\n<p>L&rsquo;acceptation du Devis entra\u00eene l&rsquo;acceptation pleine et enti\u00e8re du Client aux pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente, sans exception ni r\u00e9serve, ainsi que son accord sur la proposition tarifaire, les Prestations et\/ou services qui lui ont \u00e9t\u00e9 soumis.<\/p>\n<p>Toute Commande relative aux Prestations n\u2019est parfaite qu\u2019apr\u00e8s retour d\u00fbment sign\u00e9, dat\u00e9 et portant la mention \u00ab\u00a0BON POUR ACCORD\u00a0\u00bb ainsi que par le versement d\u2019un acompte de 50% du montant du Devis (sauf mention contraire) d\u00e9duit de la facture finale.<\/p>\n<p>Les Devis accept\u00e9s devront \u00eatre retourn\u00e9s dans un d\u00e9lai de 7 jours calendaires avant la date de d\u00e9but des Prestations.<\/p>\n<p>Toute commande annul\u00e9e moins de 7 jours calendaires avant le d\u00e9but des Prestations sera factur\u00e9e int\u00e9gralement.<\/p>\n<p>Article 4. Commandes<\/p>\n<p>4.1 R\u00e9servations<\/p>\n<\/div>\n<p>Le Client adresse sa demande de R\u00e9servation au service commercial par courrier \u00e9lectronique.<\/p>\n<p>A r\u00e9ception de la demande de R\u00e9servation, la Soci\u00e9t\u00e9 prend contact avec le Client afin d\u2019en confirmer le contenu et d\u2019\u00e9tablir le(s) Devis correspondant(s). Seules les donn\u00e9es figurant dans le(s) Devis (et, le cas \u00e9ch\u00e9ant, dans la fiche de plateau d\u00e9taillant le mat\u00e9riel et les Prestations demand\u00e9es par le Client (la \u00ab Fiche de Plateau \u00bb) et dans le r\u00e9capitulatif des Prestations \u00e9tabli par la Soci\u00e9t\u00e9 (le \u00ab R\u00e9capitulatif \u00bb)) ont valeur contractuelle.<\/p>\n<p>4.2 Options<\/p>\n<p>4.2.1 Demande d\u2019Option<\/p>\n<p>Les demandes de r\u00e9servation seront not\u00e9es en tant qu\u2019Option avant leur validation d\u00e9finitive par le client.<\/p>\n<p>Le rang des Options est attribu\u00e9 en fonction de l\u2019anciennet\u00e9 de la demande.<\/p>\n<p>Le premier Client ayant manifest\u00e9 son int\u00e9r\u00eat pour une date sera not\u00e9 en 1\u00e8re Option et le rang des Options suivantes seront d\u00e9termin\u00e9s par le nombre de demandes d\u00e9j\u00e0 effectu\u00e9es par d\u2019autres Clients.<\/p>\n<p>Une Option n\u2019engage pas le Client pour la location de la date demand\u00e9e. Elle manifeste son int\u00e9r\u00eat pour cette date et lui permet de s\u2019informer des disponibilit\u00e9s. Elle lui permet \u00e9galement de conna\u00eetre son positionnement sur la date demand\u00e9e en fonction de son rang d\u2019Option.<\/p>\n<p>Pour \u00eatre valable une demande d\u2019Option doit obligatoirement \u00eatre formul\u00e9e par e-mail, aucune demande d\u2019Option par t\u00e9l\u00e9phone ne sera prise en compte.<\/p>\n<p>4.2.2 Challenge de l\u2019Option<\/p>\n<p>Tout Client en 1\u00e8re Option conserve la priorit\u00e9 sur la date demand\u00e9e jusqu\u2019\u00e0 confirmation ou annulation de l\u2019Option.<\/p>\n<p>Cependant, si un Client avec un rang d\u2019Option inf\u00e9rieur souhaite d\u00e9finitivement confirmer avant le Client en 1\u00e8re Option, il aura la possibilit\u00e9 de \u00ab challenger \u00bb le Client en 1\u00e8re Option.<\/p>\n<p>Pour \u00eatre valable une demande de challenge doit obligatoirement \u00eatre formul\u00e9e par e-mail, et par retour de Devis sign\u00e9. Aucune demande de challenge par t\u00e9l\u00e9phone ne sera prise en compte.<\/p>\n<p>TOUTE DEMANDE DE CHALLENGE \u00c9QUIVAUT A UNE RESERVATION FERME ET D\u00c9FINITIVE DE LA LOCATION .<\/p>\n<p>En cas d\u2019annulation d\u2019une date \u00ab challeng\u00e9e \u00bb le montant Devis est d\u00fb \u00e0 100%.<\/p>\n<p>Une fois le Client en 1\u00e8re Option inform\u00e9 du challenge, celui-ci dispose d\u2019un d\u00e9lai de 24h (hors week-end et jours f\u00e9ri\u00e9s) pour donner une r\u00e9ponse d\u00e9finitive.<\/p>\n<p>Si le Client en 1\u00e8re Option confirme d\u00e9finitivement son Option par l\u2019envoi du devis sign\u00e9 et du paiement de l\u2019acompte de 50 % dans le d\u00e9lai de 24h, le Client avec le rang d\u2019Option inf\u00e9rieur est inform\u00e9 que la date n\u2019est plus disponible.<\/p>\n<p>Si le Client en 1\u00e8re Option n\u2019est pas en mesure de donner une r\u00e9ponse d\u00e9finitive ou ne r\u00e9pond pas dans le d\u00e9lai imparti, l\u2019Option sera annul\u00e9e de plein droit au profit du Client ayant \u00ab challeng\u00e9 \u00bb ladite Option.<\/p>\n<p>Article 5. Suppl\u00e9ments et modifications<\/p>\n<p>Sous r\u00e9serve de l\u2019approbation pr\u00e9alable de la Soci\u00e9t\u00e9, le Devis initial pourra, en fonction des demandes orales ou \u00e9crites du Client pr\u00e9alablement \u00e0 l\u2019ex\u00e9cution des Prestations, faire l\u2019objet de modifications , lesquelles pourront donner lieu \u00e0 une modification du prix et des modalit\u00e9s d\u2019ex\u00e9cution des Prestations. Ces modifications devront \u00eatre notifi\u00e9es par le Client \u00e0 la Soci\u00e9t\u00e9 au moins 36 heures avant la date pr\u00e9vue pour l\u2019ex\u00e9cution des Prestations et feront l\u2019objet d\u2019un Devis additionnel accept\u00e9 par le Client. Les \u00e9ventuelles demandes additionnelles du Client, en cours d\u2019ex\u00e9cution des Prestations, seront pr\u00e9alablement valid\u00e9es par la Soci\u00e9t\u00e9, et int\u00e9gr\u00e9es dans le R\u00e9capitulatif. A d\u00e9faut de retour expr\u00e8s du Client sur le R\u00e9capitulatif dans un d\u00e9lai de 72 heures \u00e0 compter de son \u00e9mission, le Client sera consid\u00e9r\u00e9 comme l\u2019avoir express\u00e9ment accept\u00e9 et ne pourra en aucun cas en contester ni le contenu, ni le montant, \u00e0 quelque titre que ce soit.<\/p>\n<p>Article 6. Modalit\u00e9s de la Prestation<\/p>\n<p>6.1 Dur\u00e9e de la Prestation<\/p>\n<p>Les studios sont lou\u00e9s pour une dur\u00e9e de 10h, de 9h et 19h<\/p>\n<p>Au-del\u00e0 des heures convenues, le Studio facturera des co\u00fbts suppl\u00e9mentaires jusqu\u2019au d\u00e9part d\u00e9finitif du Client et de son \u00e9quipe, la location prenant fin au d\u00e9part de la derni\u00e8re personne de l\u2019\u00e9quipe.<\/p>\n<p>Toute heure entam\u00e9e de plus de 15min sera due enti\u00e8rement.<\/p>\n<p>Dans le cas o\u00f9 le Client souhaite commencer avant 7h du matin ou terminer apr\u00e8s 22h, le Studio se r\u00e9serve le droit de facturer des frais de taxi pour l&rsquo;assistant plateau.<\/p>\n<p>En tout \u00e9tat de cause, les Locaux devront \u00eatre lib\u00e9r\u00e9s par le Client au plus tard \u00e0 03h du matin.<\/p>\n<p>6.2 Annulation<\/p>\n<p>Le Client a la possibilit\u00e9 d&rsquo;annuler la r\u00e9servation sans frais jusqu&rsquo;\u00e0 7 jours calendaires avant la prise de vue, si un acompte a \u00e9t\u00e9 vers\u00e9, celui-ci sera rembours\u00e9.<\/p>\n<p>Toute commande annul\u00e9e moins de 7 jours calendaires avant le d\u00e9but des Prestations sera factur\u00e9e int\u00e9gralement.<\/p>\n<p>En cas d\u2019annulation, le Studio se r\u00e9serve le droit de facturer la location du mat\u00e9riel d\u00e9j\u00e0 lou\u00e9 aupr\u00e8s de ses prestataires, les frais de transports qui ont \u00e9t\u00e9 engendr\u00e9s ou les achats de consommables d\u00e9j\u00e0 effectu\u00e9s.<\/p>\n<p>Le Studio se r\u00e9serve le droit d\u2019annuler en cas de force majeur (voir Article 15.), ou bien en l\u2019absence de paiement de l\u2019acompte par le Client. Cette annulation ne pourra ni engager sa responsabilit\u00e9 ni donner lieu au versement de dommage et int\u00e9r\u00eats \u00e0 quelque titre que ce soit.<\/p>\n<p>6.3 Conditions d\u2019utilisation<\/p>\n<p>Le Client s\u2019engage \u00e0 utiliser les biens lou\u00e9s conform\u00e9ment \u00e0 leur destination, et \u00e0 la l\u00e9gislation fran\u00e7aise. Le Client s\u2019engage, d\u2019une part, \u00e0 respecter (et \u00e0 faire en sorte que son repr\u00e9sentant, ses mandataires et tout tiers impliqu\u00e9 dans la r\u00e9alisation des Prestation(s) respectent) les Locaux, \u00e9quipements, mat\u00e9riel et accessoires mis \u00e0 sa disposition et, d\u2019autre part, \u00e0 se comporter de fa\u00e7on diligente et raisonnable. Toute utilisation, par le Client, des Locaux, \u00e9quipements, mat\u00e9riel et accessoires susceptible d\u2019endommager lesdits Locaux, \u00e9quipements, mat\u00e9riel et accessoires ou de cr\u00e9er des nuisances doit \u00eatre pr\u00e9alablement et express\u00e9ment valid\u00e9e par la Soci\u00e9t\u00e9 (notamment eau, feu, explosifs, pigments, animaux, v\u00e9hicules, musique, fum\u00e9e, sable). Le Client, ses repr\u00e9sentants ou mandataires, sont responsables de toute d\u00e9t\u00e9rioration.<\/p>\n<p>6.3.1 Avant la prise en location<\/p>\n<p>Les lieux sont pris en l\u2019\u00e9tat et devront \u00eatre rendus dans le m\u00eame \u00e9tat.<\/p>\n<p>Le Client d\u00e9clare par les pr\u00e9sentes conna\u00eetre et faire son affaire personnelle de toute mise en conformit\u00e9 et de s\u00e9curit\u00e9, notamment pour les besoins de ses prises de vues.<\/p>\n<p>Les \u00e9quipements sont contr\u00f4l\u00e9s avant toute mise \u00e0 disposition dans le studio.<\/p>\n<p>Le Client d\u00e9clare reconna\u00eetre avoir eu personnellement l\u2019opportunit\u00e9 de v\u00e9rifier le mat\u00e9riel lou\u00e9, de le trouver conforme \u00e0 ses besoins et en bon \u00e9tat de fonctionnement.<\/p>\n<p>En cas d\u2019erreur, le client s\u2019engage \u00e0 avertir le Studio dans les plus brefs d\u00e9lais, \u00e0 savoir dans un d\u00e9lai de 2 heures maximum apr\u00e8s la prise en location.<\/p>\n<p>En cas de probl\u00e8me ou de d\u00e9faillance technique du mat\u00e9riel pendant la Prestation, le Studio s\u2019engage \u00e0 faire tout son possible pour le remettre en \u00e9tat ou le remplacer avec un \u00e9quipement \u00e9quivalent. De ce fait, il faut que le Client ou ses repr\u00e9sentants avertissent le Studio dans les plus brefs d\u00e9lais pour lui laisser la chance de remplacer le mat\u00e9riel dans les temps.<\/p>\n<p>Aucune r\u00e9clamation \u00e0 la fin de la Prestation ne sera prise en compte.<\/p>\n<p>En l\u2019absence de personne d\u00e9sign\u00e9e, toutes les personnes pr\u00e9sentes dans le studio seront consid\u00e9r\u00e9es comme mandat\u00e9es par le Client pour engager des frais pour son compte.<\/p>\n<p>6.3.2 La prise en location<\/p>\n<p>Le Studio autorise le client \u00e0 faire les am\u00e9nagements n\u00e9cessaires \u00e0 ses prises de vues, mais tout am\u00e9nagement inamovible est exclu. Il est strictement interdit de coller, clouer, peindre sur les sols et murs des studios.<\/p>\n<p>Il est strictement interdit de r\u00e9aliser des prises de vues ou de tournages dans le hall ou dans la cour des immeubles. Les parties communes des immeubles n&rsquo;appartenant pas au Studio, une autorisation pr\u00e9alable est requise aupr\u00e8s du propri\u00e9taire.<\/p>\n<p>Le Client s\u2019engage \u00e0 utiliser le mat\u00e9riel conform\u00e9ment \u00e0 sa destination et \u00e0 ne proc\u00e9der \u00e0 aucune modification ni r\u00e9paration sur le mat\u00e9riel lou\u00e9 sans accord pr\u00e9alable du Studio.<\/p>\n<p>L&rsquo;utilisation des \u00e9quipements lou\u00e9s est limit\u00e9e au sein des Locaux du Studio. Ils ne doivent en aucun cas \u00eatre utilis\u00e9s \u00e0 l&rsquo;ext\u00e9rieur du studio sans l\u2019autorisation pr\u00e9alable du Studio.<\/p>\n<p>Le mat\u00e9riel qui a \u00e9t\u00e9 command\u00e9 par le Studio pour le compte du Client reste sous la responsabilit\u00e9 du Client.<\/p>\n<p>6.3.3 La restitution du studio<\/p>\n<p>Le Client s\u2019engage \u00e0 restituer les lieux et le mat\u00e9riel qui lui est confi\u00e9 dans l\u2019\u00e9tat dans lequel il les a re\u00e7us, cet \u00e9tat \u00e9tant pr\u00e9sum\u00e9 conforme \u00e0 l\u2019usage auquel il est destin\u00e9.<\/p>\n<p>Le Client est seul responsable de la d\u00e9gradation, voire, de la destruction (totale ou partielle) des Locaux et du mat\u00e9riel mis \u00e0 sa disposition.<\/p>\n<p>Tout probl\u00e8me technique ou d\u00e9gradation des Locaux devront \u00eatre signal\u00e9s imm\u00e9diatement au responsable du Studio.<\/p>\n<p>En cas de d\u00e9gradation des lieux lou\u00e9s par le Client, les frais de remise en \u00e9tat lui seront int\u00e9gralement factur\u00e9s.<\/p>\n<p>En cas de casse ou de perte, le mat\u00e9riel endommag\u00e9 ou manquant sera factur\u00e9 au Client.<\/p>\n<p>Le montant factur\u00e9 correspondra soit au prix d\u2019achat, soit au prix de r\u00e9paration.<\/p>\n<p>Article 7. Prix et modalit\u00e9s de paiement<\/p>\n<p>7.1 Tarifs<\/p>\n<p>Le prix des Prestations est indiqu\u00e9 en euros et HT. Le Studio accepte uniquement les r\u00e8glements en euro et par virement bancaire. La TVA est factur\u00e9e sur l\u2019ensemble des Prestations zone UE.<\/p>\n<p>Pour les shoots photo, 2 types de tarifs sont pratiqu\u00e9s lors de la location des plateaux\u00a0:<\/p>\n<p>Tarif r\u00e9gulier : tarif studio valable uniquement si la location du mat\u00e9riel lumi\u00e8re passe par nos services.<br \/>\nTarif en location \u201cs\u00e8che\u201d sans mat\u00e9riel : tarif appliqu\u00e9 lorsque la location du mat\u00e9riel lumi\u00e8re passe par un prestataire externe, dans ce cas le prix du plateau est major\u00e9 de 100%.<\/p>\n<p>Les tarifs pratiqu\u00e9s par le Studio pourront faire l&rsquo;objet d&rsquo;une r\u00e9vision \u00e0 tout moment et sans pr\u00e9avis, en fonction des conditions \u00e9conomiques en vigueur. Les tarifs des locations fix\u00e9s par le Studio sont d\u00e9termin\u00e9s en fonction des tarifs en vigueur au jour de la r\u00e9servation.<\/p>\n<p>Le temps d&rsquo;occupation du studio est facturable :<\/p>\n<p>&#8211;\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Par journ\u00e9e : De 9 heures \u00e0 19 heures (soit 10h de location).<\/p>\n<p>&#8211;\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 En heure suppl\u00e9mentaire :<\/p>\n<p>Entre 7h et 9h ou 19h et 22h.<\/p>\n<p>&#8211;\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 En tarif de nuit :<\/p>\n<p>Entre 22h et 7h.<\/p>\n<p>&#8211;\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Pour les week-ends et jours f\u00e9ri\u00e9s : Majoration de 25% du tarif semaine.<\/p>\n<p>L\u2019utilisation des Locaux de la Soci\u00e9t\u00e9 est factur\u00e9e \u00e0 la journ\u00e9e pour une dur\u00e9e de 10 heures. Au-del\u00e0 des 10 heures, le temps d\u2019occupation (incluant le temps de<\/p>\n<p>pr\u00e9sence du Client dans les Locaux, le rangement du mat\u00e9riel utilis\u00e9 et\/ou, le cas \u00e9ch\u00e9ant, la remise en \u00e9tat des Locaux) sera factur\u00e9 en heures suppl\u00e9mentaires, par tranches de 30mn. Les Locaux devront, en tout \u00e9tat de cause, \u00eatre lib\u00e9r\u00e9s par le Client \u00e0 03h du matin, sauf autorisation expresse pr\u00e9alable de la Soci\u00e9t\u00e9.<\/p>\n<p>Le Studio attire l\u2019attention du Client sur le fait que le devis confirm\u00e9 ne correspond pas \u00e0 la facture, et que le montant est susceptible de varier en fonction des commandes pass\u00e9es post\u00e9rieurement au devis.<\/p>\n<p>7.2. Facturation<\/p>\n<p>Sauf convention contraire, les Prestations sont factur\u00e9es sur la base des tarifs mentionn\u00e9s dans le Devis initial compl\u00e9t\u00e9, le cas \u00e9ch\u00e9ant, par les Devis additionnels, la Fiche de Plateau, ainsi que le R\u00e9capitulatif.<\/p>\n<p>7.3 Modalit\u00e9s de r\u00e8glement<\/p>\n<p>Sauf mention contraire mentionn\u00e9e sur le Devis, le Client verse \u00e0 la Soci\u00e9t\u00e9 un acompte correspondant \u00e0 50% du prix total de la ou des Prestation(s) command\u00e9e(s) lors de la signature du Devis. Le solde, correspondant aux 50% restants, devra \u00eatre vers\u00e9 par le Client pr\u00e9alablement au d\u00e9marrage des Prestations. Le solde du prix, d\u00e9termin\u00e9 sur la base du R\u00e9capitulatif, sera pay\u00e9 par le Client dans un d\u00e9lai maximum de 30 jours calendaires \u00e0 compter de la r\u00e9ception par ce dernier de la facture correspondante.<\/p>\n<p>La Soci\u00e9t\u00e9 se r\u00e9serve le droit d\u2019inclure dans ses Devis une provision correspondant aux frais additionnels engendr\u00e9s par les Prestations (tels que, \u00e0 titre d\u2019exemple, les frais de bouche, l\u2019\u00e9lectricit\u00e9, la peinture en blanc du plateau lou\u00e9) pouvant aller jusqu\u2019\u00e0 10% du Devis global, \u00e9tant pr\u00e9cis\u00e9 que le R\u00e9capitulatif ne mentionnera que les d\u00e9penses effectivement engag\u00e9es par la Soci\u00e9t\u00e9 pour le compte du Client ou, selon le cas, engag\u00e9es par le Client dans le cadre de la r\u00e9alisation des Prestations. Dans le cas o\u00f9 les avances per\u00e7ues seraient sup\u00e9rieures au montant du R\u00e9capitulatif, la Soci\u00e9t\u00e9 s\u2019engage \u00e0 rembourser la diff\u00e9rence dans un d\u00e9lai de 30 jours calendaires.<\/p>\n<p>Seul l\u2019encaissement effectif d\u2019une facture constitue un paiement. Les paiements ne peuvent \u00eatre suspendus ou faire l\u2019objet d\u2019une quelconque compensation sans l\u2019accord \u00e9crit et pr\u00e9alable de la Soci\u00e9t\u00e9. La Soci\u00e9t\u00e9 pourra, le cas \u00e9ch\u00e9ant, prononcer l\u2019exigibilit\u00e9 imm\u00e9diate de toute somme pour laquelle elle avait consenti un terme de paiement au Client, et ce de plein droit, sans mise en demeure ou notification pr\u00e9alable.<\/p>\n<p>Aucune contestation, quelle qu\u2019elle soit, relative \u00e0 la facturation r\u00e9alis\u00e9e sur la base du R\u00e9capitulatif valid\u00e9 ne sera admise par la Soci\u00e9t\u00e9. Le paiement des factures ne pourra \u00eatre retard\u00e9 pour quelque motif que ce soit.<\/p>\n<p>7.4 Retard de paiement<\/p>\n<p>Toute somme non pay\u00e9e \u00e0 \u00e9ch\u00e9ance donnera lieu, de plein droit, sans mise en demeure ou notification pr\u00e9alable, \u00e0 int\u00e9r\u00eats de retard outre une indemnit\u00e9 forfaitaire pour frais de recouvrement de 40\u20ac. Les int\u00e9r\u00eats seront calcul\u00e9s depuis la date d\u2019\u00e9ch\u00e9ance jusqu\u2019au jour du complet paiement, et seront \u00e9gal \u00e0 3 fois le taux d\u2019int\u00e9r\u00eat l\u00e9gal en vigueur \u00e0 cette date. Dans le cas o\u00f9 les frais engag\u00e9s pour le recouvrement seraient sup\u00e9rieurs \u00e0 40\u20ac, la Soci\u00e9t\u00e9 se r\u00e9serve le droit de r\u00e9clamer au Client une indemnisation compl\u00e9mentaire sur justification.<\/p>\n<p>Article 8. R\u00e9alisation des Prestations<\/p>\n<p>8.1 Assistance du Client<\/p>\n<p>Les Prestations sont r\u00e9alis\u00e9es dans les d\u00e9lais convenus avec le Client. Le Client s\u2019engage \u00e0 apporter \u00e0 la Soci\u00e9t\u00e9 l\u2019assistance et les moyens n\u00e9cessaires \u00e0 la r\u00e9alisation des Prestations (notamment, en lui communiquant toute information et\/ou documentation utiles). Le Client s\u2019engage par ailleurs \u00e0 fournir \u00e0 la Soci\u00e9t\u00e9, pr\u00e9alablement \u00e0 chaque Prestation, une feuille de route (\u00ab Call Sheet \u00bb) pr\u00e9cisant les noms et fonctions des personnes pr\u00e9sentes sur le plateau lou\u00e9. Ces derni\u00e8res seront r\u00e9put\u00e9es mandat\u00e9es par le Client pour engager toute d\u00e9pense aupr\u00e8s de la Soci\u00e9t\u00e9, sans que le Client ne puisse contester ces d\u00e9penses. Toutefois, le Client pourra pr\u00e9alablement d\u00e9signer formellement \u00e0 la Soci\u00e9t\u00e9 une seule personne charg\u00e9e d\u2019engager les d\u00e9penses pour son compte. En l\u2019absence de Call Sheet ou de personne d\u00e9sign\u00e9e, toutes les personnes pr\u00e9sentes sur le plateau lou\u00e9 seront consid\u00e9r\u00e9es comme mandat\u00e9es par le Client.<\/p>\n<p>Sous r\u00e9serve d\u2019en informer la Soci\u00e9t\u00e9 au moins 72 heures avant le d\u00e9but des Prestations, le nombre de personnes pr\u00e9sentes sur le plateau lou\u00e9 ne peut varier de plus de 10%. En tout \u00e9tat de cause, la Soci\u00e9t\u00e9 devra respecter la jauge prescrite par le Studio pour des raisons de s\u00e9curit\u00e9.<\/p>\n<p>8.2 Retard et\/ou suspension des Prestations<\/p>\n<p>La Soci\u00e9t\u00e9 n\u2019est pas responsable des retards de r\u00e9alisation et\/ou de la suspension des Prestations imputables (i) au Client du fait d\u2019un manquement \u00e0 ses obligations d\u2019assistance, d\u2019information ou de v\u00e9rification pr\u00e9alable, et\/ou (ii) \u00e0 une modification de la commande au cours de l\u2019ex\u00e9cution des Prestations ou moins de 36h avant le d\u00e9but de la Prestation, et\/ou (iii) \u00e0 un retard de paiement du Client.<\/p>\n<p>Conform\u00e9ment \u00e0 la convention collective applicable aux salari\u00e9s de la Soci\u00e9t\u00e9, toute Prestation d\u2019une dur\u00e9e sup\u00e9rieure \u00e0 12 heures devra \u00eatre pr\u00e9vue au moins 24 heures \u00e0 l\u2019avance.<\/p>\n<p>8.3 Coursiers et livraisons<\/p>\n<ul>\n<li>Livraison du shopping ou d\u2019\u00e9l\u00e9ments de d\u00e9cor<\/li>\n<\/ul>\n<p>La livraison du shopping et des \u00e9l\u00e9ments de d\u00e9cors devra s&rsquo;effectuer au plus t\u00f4t la veille de la prestation, aux heures d&rsquo;ouverture du Studio.<\/p>\n<p>Le Client doit informer le Studio au pr\u00e9alable afin qu\u2019un emplacement de stockage suffisant, sous r\u00e9serve de disponibilit\u00e9, puisse lui \u00eatre r\u00e9serv\u00e9.<\/p>\n<p>Le Studio se r\u00e9serve le droit de refuser des colis, en l\u2019absence de r\u00e9f\u00e9rence, ainsi que des colis de tr\u00e8s grandes valeurs (Exemple : bijoux, etc..).<\/p>\n<ul>\n<li>Reprise des \u00e9l\u00e9ments de shopping en fin de location<\/li>\n<\/ul>\n<p>Pour des raisons de s\u00e9curit\u00e9 et de gestion de stockage, le Client est invit\u00e9 \u00e0 r\u00e9cup\u00e9rer le shopping, le d\u00e9cor et\/ou son mat\u00e9riel d\u00e8s la fin de la prise de vue.<\/p>\n<p>Tout \u00e9quipement, mat\u00e9riel ou accessoire non r\u00e9cup\u00e9r\u00e9 par le Client dans un d\u00e9lai maximum de 48 heures suivant la fin des Prestations sera mis \u00e0 la benne et fera l\u2019objet d\u2019une facturation suppl\u00e9mentaire, sauf autorisation expresse pr\u00e9alable de la Soci\u00e9t\u00e9.<\/p>\n<p>Pour des raisons de s\u00e9curit\u00e9, il est rappel\u00e9 que le Client, ses repr\u00e9sentants et utilisateurs sont responsables des coursiers auxquels ils font appel et s\u2019engagent \u00e0 r\u00e9gler toutes sommes dues, quelles qu\u2019elles soient, dans le cadre des livraisons et\/ou commandes qu\u2019il organise. Il s\u2019engage \u00e0 cet \u00e9gard \u00e0 d\u00e9poser et r\u00e9ceptionner ses plis \u00e0 l\u2019accueil de la Soci\u00e9t\u00e9, les coursiers n\u2019\u00e9tant pas autoris\u00e9s \u00e0 circuler dans les Locaux. En l\u2019absence du Client, le visa appos\u00e9 par la Soci\u00e9t\u00e9 ne saurait engager la responsabilit\u00e9 de la Soci\u00e9t\u00e9 et ne vaut en aucun cas ni re\u00e7u, ni acceptation de la marchandise.<\/p>\n<p>Dans le cas o\u00f9 la Soci\u00e9t\u00e9 se verrait refacturer quelque somme que ce soit dans le cadre de toute livraison et\/ou commandes \u00e0 l\u2019initiative du Client et organis\u00e9es par ce dernier, la Soci\u00e9t\u00e9 refacturera lesdites sommes au Client en appliquant une p\u00e9nalit\u00e9 de 200%, sans contestation possible du Client \u00e0 cet \u00e9gard.<\/p>\n<p>8.4 Restauration et boissons<\/p>\n<p>Le Studio ne prend pas en charge l\u2019organisation de la restauration des \u00e9quipes de production. Il met \u00e0 disposition un office avec acc\u00e8s \u00e0 l\u2019eau et au froid mais qui n\u2019a pas vocation de laboratoire. Aucune cuisson n\u2019est autoris\u00e9e. Les catering sont dans l\u2019obligation de s\u2019occuper de leurs d\u00e9chets et de resituer l\u2019office propre.<\/p>\n<p>L&rsquo;Assistant plateau faisant partie int\u00e9grante de l&rsquo;\u00e9quipe du Client, son repas sera \u00e0 la charge du Client.<\/p>\n<p>Article 9. Protection des donn\u00e9es personnelles<\/p>\n<p>Au cours de l\u2019ex\u00e9cution des Prestations, les Parties pourront \u00eatre amen\u00e9es \u00e0 se transmettre des fichiers comprenant des donn\u00e9es \u00e0 caract\u00e8re personnel au sens de la loi Informatique et Libert\u00e9s n\u00b078-17 du 6 janvier 1978 modifi\u00e9e et du R\u00e8glement Europ\u00e9en 2016\/679 du 27 avril 2016 (le \u00ab RGPD \u00bb). Les Parties prendront toutes mesures organisationnelles, techniques, logicielles et physiques n\u00e9cessaires en mati\u00e8re de s\u00e9curit\u00e9 du num\u00e9rique pour pr\u00e9server dans des conditions optimales de s\u00e9curit\u00e9 et de confidentialit\u00e9 les donn\u00e9es \u00e0 caract\u00e8re personnel qu\u2019elles seraient amen\u00e9es \u00e0 collecter et\/ou \u00e0 traiter en application de la commande. En aucune fa\u00e7on le Studio ne peut \u00eatre tenu \u00e0 une obligation de r\u00e9sultat \u00e0 ce titre. \u00a0En outre, les Parties ne devront conserver et\/ou traiter ces donn\u00e9es que pour la stricte ex\u00e9cution de la commande et devront veiller \u00e0 ce que ces donn\u00e9es gardent leur enti\u00e8re int\u00e9grit\u00e9 et qu\u2019elles ne soient, notamment ni d\u00e9form\u00e9es, ni endommag\u00e9es, ni accessibles \u00e0 des tiers non express\u00e9ment autoris\u00e9s. Les Parties s\u2019engagent \u00e9galement \u00e0 ne pas transf\u00e9rer ces donn\u00e9es en dehors de l\u2019Union Europ\u00e9enne sans l\u2019accord pr\u00e9alable et \u00e9crit de l\u2019autre Partie, sauf \u00e0 ce que lesdits transferts r\u00e9pondent aux garanties d\u00e9finies dans les articles 44 et suivants du RGPD.<\/p>\n<p>En aucun cas, les donn\u00e9es recueillies par l\u2019une ou l\u2019autre des Parties ne seront c\u00e9d\u00e9es ou vendues \u00e0 des tiers. Le Client est inform\u00e9 que la collecte de ses donn\u00e9es \u00e0 caract\u00e8re personnel est n\u00e9cessaire \u00e0 la gestion administrative de la location d\u2019un studio. Sauf accord expr\u00e8s du Client, ses donn\u00e9es \u00e0 caract\u00e8re personnelles ne sont pas utilis\u00e9es \u00e0 des fins publicitaires ou de marketing et le Client s\u2019engage de m\u00eame. Enfin, les Parties ne conserveront les donn\u00e9es ainsi recueillies pendant un d\u00e9lai de 5 ans, couvrant le temps de la prescription de la responsabilit\u00e9 civile contractuelle applicable.<\/p>\n<p>De plus, si l\u2019une des Parties a connaissance de l\u2019existence d\u2019une violation de donn\u00e9es \u00e0 caract\u00e8re personnel, chacune des Parties s\u2019engage vis-\u00e0-vis de l\u2019autre Partie \u00e0 notifier cet incident dans un d\u00e9lai maximum de 48 heures \u00e0 compter de la prise de connaissance de cette violation et \u00e0 fournir \u00e0 ladite Partie les informations lui permettant de respecter ses obligations de notifications aupr\u00e8s de la CNIL, et ce dans le d\u00e9lai imparti par l\u2019article 33 du RGPD. Enfin, les Parties disposent d\u2019un droit d\u2019acc\u00e8s, de rectification, d\u2019opposition, d\u2019effacement, de rectification et de portabilit\u00e9 des donn\u00e9es les concernant ou concernant leurs pr\u00e9pos\u00e9s, ainsi que du droit de s\u2019opposer au traitement pour motif l\u00e9gitime. Ces droits peuvent \u00eatre exerc\u00e9s par le Client en adressant une demande par courrier ou par E-mail \u00e0 la Soci\u00e9t\u00e9 LITTLE GRAND STUDIO dont les coordonn\u00e9es sont indiqu\u00e9es ci-dessus :<br \/>\nAdresse : 7 Rue des Bergeries 93300 Aubervilliers<\/p>\n<p>Mail : clemence@hmbm.fr<\/p>\n<p>La Soci\u00e9t\u00e9 s\u2019engage \u00e0 r\u00e9pondre dans un d\u00e9lai d\u2019un mois. Au besoin, ce d\u00e9lai peut \u00eatre prolong\u00e9 de deux mois, compte tenu de la complexit\u00e9 et du nombre de demandes.<\/p>\n<p>Le Client est inform\u00e9 qu\u2019en cas de refus, il peut introduire une r\u00e9clamation aupr\u00e8s de la CNIL (3 place de Fontenoy, 75007 PARIS) ou saisir une autorit\u00e9 judiciaire.<\/p>\n<p>Article 10. Vid\u00e9osurveillance<\/p>\n<p>Le Studio est, pour certaines parties, plac\u00e9 sous vid\u00e9osurveillance pour la s\u00e9curit\u00e9 des personnes et des biens.<\/p>\n<p>Les images sont conserv\u00e9es pendant une semaine et peuvent \u00eatre visionn\u00e9es, en cas d\u2019incident, par le personnel habilit\u00e9 de la Soci\u00e9t\u00e9 et par les forces de l\u2019ordre.<\/p>\n<p>Pour exercer vos droits Informatique et Libert\u00e9s, notamment votre droit d\u2019acc\u00e8s aux images qui vous concernent, ou pour toute information sur ce dispositif, vous pouvez contacter\u00a0notre Responsable des Services<\/p>\n<p>G\u00e9n\u00e9raux en \u00e9crivant \u00e0\u00a0alex@littlegrandstudio.com\u00a0ou \u00e0 l\u2019adresse postale suivante\u00a0: 2 Rue de l\u2019Ecluse des Vertus 93300 Aubervilliers.<\/p>\n<p>Article 11. Obligations des Parties<\/p>\n<p>La Soci\u00e9t\u00e9 s\u2019engage \u00e0 mettre \u00e0 la disposition du Client des Locaux, \u00e9quipements, mat\u00e9riel ou accessoires en bon ordre de marche. Le Client s\u2019engage \u00e0 les restituer dans le m\u00eame \u00e9tat. Dans le cas contraire (notamment en cas de d\u00e9gradations volontaires ou involontaires du Client), les frais de r\u00e9paration et de remise en \u00e9tat seront int\u00e9gralement factur\u00e9s au Client. Ce dernier s\u2019engage \u00e0 faire en sorte que les Locaux, \u00e9quipements, mat\u00e9riel ou accessoires ne soient utilis\u00e9s que par des personnes habilit\u00e9es et comp\u00e9tentes.<\/p>\n<p>Tous les mat\u00e9riels fournis par la Soci\u00e9t\u00e9 dans le cadre des Prestations devront \u00eatre remplac\u00e9s, aux frais exclusifs du Client (\u00e9tant entendu que le Client reconna\u00eet \u00eatre parfaitement inform\u00e9 de la valeur du mat\u00e9riel qu\u2019il loue et dont il a la garde), par un mat\u00e9riel de caract\u00e9ristiques et de performance \u00e9quivalentes au mat\u00e9riel d\u00e9t\u00e9rior\u00e9 en cas de d\u00e9t\u00e9rioration volontaire, vol sans effraction, disparition inexpliqu\u00e9e ou d\u00e9tournement. Par ailleurs, et en cas de vol, le client devra, sous sa responsabilit\u00e9, faire dans les plus brefs d\u00e9lais, une d\u00e9claration au commissariat de police le plus proche ainsi qu\u2019aupr\u00e8s de sa compagnie d\u2019assurance. Une copie de cette plainte devra \u00eatre adress\u00e9e \u00e0 la Soci\u00e9t\u00e9.<\/p>\n<p>Plus g\u00e9n\u00e9ralement, dans le cas o\u00f9 le Client g\u00e8rerait directement certains aspects de la Prestation et\/ou r\u00e9aliserait directement certaines op\u00e9rations (en faisant, par exemple, appel \u00e0 un prestataire ext\u00e9rieur) et\/ou utiliserait directement du mat\u00e9riel et\/ou certains \u00e9quipements et accessoires lui appartenant ou appartenant \u00e0 la Soci\u00e9t\u00e9, en lien avec la Prestation, la responsabilit\u00e9 de la Soci\u00e9t\u00e9 serait totalement d\u00e9gag\u00e9e dans le cadre de ces op\u00e9rations.<\/p>\n<p>Le Client s\u2019engage par ailleurs \u00e0 prendre toutes les mesures de s\u00e9curit\u00e9 pour les biens, quels qu\u2019ils soient, qu\u2019il fait entrer dans les Locaux et n\u2019appartenant pas \u00e0 la Soci\u00e9t\u00e9 et \u00e0 en informer pr\u00e9alablement la Soci\u00e9t\u00e9. Le Studio ne pourra \u00eatre tenu responsable du pr\u00e9judice direct ou indirect \u00e9ventuellement subi par le locataire en cas d\u2019impossibilit\u00e9 d\u2019usage du studio ou du mat\u00e9riel le jour pr\u00e9vu de la prise de vue, d\u00fb \u00e0 toute raison ind\u00e9pendante de sa volont\u00e9.<\/p>\n<p>Article 12. Garanties<\/p>\n<p>Les Prestations sont r\u00e9put\u00e9es conformes au(x) Devis et au R\u00e9capitulatif. La Soci\u00e9t\u00e9 garantit le Client contre tout d\u00e9faut de conformit\u00e9 des Prestations et tout vice cach\u00e9 provenant d\u2019un d\u00e9faut de r\u00e9alisation desdites Prestations, \u00e0 l\u2019exclusion de toute n\u00e9gligence ou faute du Client. La responsabilit\u00e9 de la Soci\u00e9t\u00e9 ne peut \u00eatre recherch\u00e9e qu\u2019en cas de faute ou de n\u00e9gligence av\u00e9r\u00e9e de la Soci\u00e9t\u00e9. Dans ce cas, la Soci\u00e9t\u00e9 rectifiera, \u00e0 ses frais exclusifs, selon les modalit\u00e9s agr\u00e9\u00e9es avec le Client, les Prestations non-conformes ou vici\u00e9es. En toutes hypoth\u00e8ses, la responsabilit\u00e9 de la Soci\u00e9t\u00e9 est limit\u00e9e aux pr\u00e9judices directs, \u00e0 l\u2019exclusion de tout pr\u00e9judice indirect, et au montant HT pay\u00e9 par le Client pour la r\u00e9alisation des Prestations.<\/p>\n<p>Article 13. Responsabilit\u00e9<\/p>\n<p>Par ailleurs, la Soci\u00e9t\u00e9 ne saurait \u00eatre tenue responsable, \u00e0 quelque titre que ce soit, en cas de dommages et\/ou nuisances du fait d\u2019un tiers ou imputables \u00e0 une mauvaise utilisation ou une utilisation non-conforme par le Client des Locaux, \u00e9quipements, mat\u00e9riel ou accessoires mis \u00e0 sa disposition. De m\u00eame, la Soci\u00e9t\u00e9 ne saurait \u00eatre tenue responsable, \u00e0 quelque titre que ce soit, de tout dommage corporel, mat\u00e9riel et immat\u00e9riel survenant dans les Locaux ainsi que de tout vol, d\u00e9t\u00e9rioration ou dommage pouvant survenir aux esp\u00e8ces, mat\u00e9riels, accessoires, v\u00eatements ou tous autres biens (animaux compris) que le Client, son repr\u00e9sentant et\/ou ses mandataires fait entrer dans les Locaux et n\u2019appartenant pas \u00e0 la Soci\u00e9t\u00e9. En cons\u00e9quence, il appartient au Client, son repr\u00e9sentant et\/ou ses mandataires de contracter personnellement toutes les assurances n\u00e9cessaires pour couvrir l\u2019ensemble des risques non couverts par les assurances de la Soci\u00e9t\u00e9 (notamment les risques ci-dessus \u00e9voqu\u00e9s) et \u00e0 pr\u00e9senter la ou les attestation(s) correspondante(s) \u00e0 premi\u00e8re demande de la Soci\u00e9t\u00e9 (en ce compris toute attestation d&rsquo;assurance responsabilit\u00e9 civile professionnelle).<\/p>\n<p>Le Client est responsable de tous dommages mat\u00e9riels ou corporels subis par les tiers de son fait, et ceux qui r\u00e9sultent d\u2019un acte commis par lui, l\u2019un de ses pr\u00e9pos\u00e9s ou ses invit\u00e9s. Il est aussi responsable de toutes infractions p\u00e9nales commises par lui ou ses invit\u00e9s.<\/p>\n<p>La Soci\u00e9t\u00e9 ne saurait \u00eatre tenue responsable de la perte ou de la d\u00e9t\u00e9rioration d\u2019images ou de donn\u00e9es informatiques utilis\u00e9es par le Client ou encore obtenues par du mat\u00e9riel mis \u00e0 sa disposition. En cas de faute quelconque imputable \u00e0 la Soci\u00e9t\u00e9, sa responsabilit\u00e9 ne saurait \u00eatre engag\u00e9e au-del\u00e0 de la fourniture des m\u00eames moyens techniques mis \u00e0 disposition du Client, pour lui permettre de reconstituer les donn\u00e9es perdues ou d\u00e9t\u00e9rior\u00e9es.<\/p>\n<p>L\u2019utilisation du parking mis \u00e0 la disposition du Client ne saurait engager la responsabilit\u00e9 de la Soci\u00e9t\u00e9.<\/p>\n<p>Enfin, le Studio n\u2019encourra aucune responsabilit\u00e9 vis-\u00e0- vis du client en cas de panne ou de mauvais fonctionnement du bien lou\u00e9 ind\u00e9pendant de sa volont\u00e9.<\/p>\n<p>Article 14. Assurances<\/p>\n<p>Le mat\u00e9riel de la Soci\u00e9t\u00e9 est lou\u00e9 assurance comprise, avec une franchise de 1.000 \u20ac en cas de dommages accidentels et non pr\u00e9visibles. Cette assurance ne couvre toutefois pas la perte et le vol, survenu dans quelque<\/p>\n<p>circonstance que ce soit, contre lesquels le Client est tenu de s\u2019assurer personnellement, sans recours contre la Soci\u00e9t\u00e9.<\/p>\n<p>Le Client est responsable de toutes personnes pr\u00e9sentes sur le lieu de la Prestation et des cons\u00e9quences de leurs actes.<\/p>\n<p>Ces personnes devront avoir contract\u00e9 leurs propres assurances.<\/p>\n<p>Article 15. Force majeure \u2013 Emp\u00eachement<\/p>\n<p>Aucune des Parties n&rsquo;aura failli \u00e0 ses obligations dans la mesure o\u00f9 leur ex\u00e9cution sera retard\u00e9e, entrav\u00e9e ou emp\u00each\u00e9e par un cas fortuit ou une force majeure au sens de l\u2019article 1218 du Code civil. De fa\u00e7on expresse, sont consid\u00e9r\u00e9s comme cas fortuits ou de force majeure, outre ceux habituellement retenus par la jurisprudence : le blocage des moyens de transports ou d&rsquo;approvisionnements, tremblements de terre, incendies, temp\u00eates, inondations, foudre, panne sur le r\u00e9seau ext\u00e9rieur d\u2019alimentation \u00e9lectrique ou manque de moyen de transport emp\u00eachant l\u2019acheminement de mat\u00e9riel ou la r\u00e9alisation des Prestations et tout \u00e9v\u00e9nement \u00e0 l\u2019origine de la destruction compl\u00e8te ou partielle des Locaux. La Partie invoquant la survenance d\u2019un cas de force majeure doit en avertir l\u2019autre Partie, sans d\u00e9lai, par LRAR. Les Parties se rapprocheront alors dans un d\u00e9lai d&rsquo;un mois, sauf impossibilit\u00e9 due au cas de force majeure, pour examiner l&rsquo;incidence de l&rsquo;\u00e9v\u00e9nement et convenir des conditions dans lesquelles l&rsquo;ex\u00e9cution du contrat sera poursuivie. En cas de force majeure, l\u2019ex\u00e9cution du contrat sera suspendue pendant toute la dur\u00e9e de la force majeure si elle est temporaire. Si l\u2019emp\u00eachement devenait d\u00e9finitif, le contrat sera r\u00e9solu de plein droit.<\/p>\n<p>Article 16. Loi Applicable &#8211; Juridiction comp\u00e9tente<\/p>\n<p>Les CGV sont r\u00e9dig\u00e9es en langue fran\u00e7aise. En cas de traduction, seul le texte fran\u00e7ais fait foi. Les relations contractuelles entre les parties auxquelles s\u2019appliquent les pr\u00e9sentes conditions g\u00e9n\u00e9rales sont r\u00e9gies exclusivement par le droit Fran\u00e7ais.<\/p>\n<p>En cas de contestation, les Parties devront se rapprocher en vue de parvenir \u00e0 un accord amiable. A d\u00e9faut, les parties s\u2019engagent \u00e0 recourir \u00e0 la m\u00e9diation avant toute action devant le tribunal comp\u00e9tent. Preamble &#8211; Purpose<\/p>\n<p>These General Terms and Conditions of Sale (\u00ab\u00a0GTC\u00a0\u00bb) automatically apply to all commercial relationships between the company \u00ab\u00a0LITTLE GRAND STUDIO,\u00a0\u00bb headquartered at 7 Rue des Bergeries &#8211; 93300 Aubervilliers, registered under number 794 556 001 RCS Bobigny (the \u00ab\u00a0Company\u00a0\u00bb or the \u00ab\u00a0Studio\u00a0\u00bb), and any individual or company (the \u00ab\u00a0Client\u00a0\u00bb) (hereinafter together referred to as the \u00ab\u00a0Parties\u00a0\u00bb). They aim to define the conditions under which the Company provides technical, audiovisual, or event services to its Clients (the \u00ab\u00a0Service(s)\u00a0\u00bb), where applicable, at its premises (the \u00ab\u00a0Premises\u00a0\u00bb). They notably specify the rental conditions, ordering, and payment for the rental of Premises, equipment, and all Services provided by the Studio. The Client acknowledges having read the GTC prior to any order. It is understood that the Client&rsquo;s acceptance of a quote issued by the Company (the \u00ab\u00a0Quote\u00a0\u00bb), placing a dated and signed Order, paying a deposit, or commencing the execution of a Service implies acceptance of the GTC. The Company reserves the right to modify the GTC at any time. They will automatically apply to all Orders placed subsequently to the modification. These GTC are supplemented by the Quote(s). Only the specific conditions that may appear in the Quote(s), as they prevail over the GTC in the event of inconsistency or conflict, may derogate from the provisions of the GTC.<\/p>\n<p>Article 2. Definitions<\/p>\n<p>The terms below beginning with a capital letter shall have the following meanings:<\/p>\n<p>Call Sheet: refers to the roadmap specifying the names and roles of the individuals present on the rented set. GTC: refers to these general terms and conditions of sale governing the relationship between the Parties. Client: refers to the company placing an Order, either by making a firm Reservation or by placing an Option for a later Reservation, with or without additional Services. Order: refers to the Reservation, or the Option for a later confirmation of the Reservation, made by the Client, with or without additional Services. Quote: refers to the itemized proposal issued by the Studio at the request of the Client. Studio\/Society: refers to the company LITTLE GRAND STUDIO, as mentioned at the beginning of these GTC.<\/p>\n<p>Article 3. Quote and acceptance<\/p>\n<p>3.1 Quote Any Order by the Client results in the issuance of a Quote. Quotes cannot be transferred to another Client without the prior agreement of the Studio. If a transfer is accepted, the initial Quote will no longer be valid, and a new Quote will be issued. Before confirming any Quote, the Client is required to verify its accuracy and immediately report any errors, particularly regarding the quantities, references, and sizes of the requested equipment. After validation of the Quote, no modification or cancellation will be possible except with the written agreement of the Studio. The rental of the studio, equipment, and any other Service requested by the Client on the Quote will be automatically invoiced. All Quotes are valid for 15 days.<\/p>\n<p>3.2 Approval The acceptance of the Quote implies the full and complete acceptance by the Client of these general terms and conditions of sale, without exception or reservation, as well as agreement on the proposed rates, Services, and\/or services submitted to it. Any Order related to the Services is only final after the duly signed, dated, and marked \u00ab\u00a0APPROVAL\u00a0\u00bb return and the payment of a deposit of 50% of the Quote amount (unless otherwise stated), deducted from the final invoice. Accepted Quotes must be returned within 7 calendar days before the start date of the Services. Any order canceled less than 7 calendar days before the start of the Services will be billed in full.<\/p>\n<p>Article 4. Orders<\/p>\n<p>4.1 Reservations<\/p>\n<div class=\"flex flex-grow flex-col max-w-full\">\n<div class=\"min-h-&#091;20px&#093; text-message flex flex-col items-start gap-3 whitespace-pre-wrap break-words &#091;.text-message+&#038;&#093;:mt-5 overflow-x-auto\" data-message-author-role=\"assistant\" data-message-id=\"ecc362c8-faf8-4fdb-b62a-520c937ab4bc\">\n<div class=\"markdown prose w-full break-words dark:prose-invert light\">\n<p>The Client submits their Reservation request to the commercial department via email. Upon receiving the Reservation request, the Company contacts the Client to confirm its content and to prepare the corresponding Quote(s). Only the data contained in the Quote(s) (and, if applicable, in the detailed equipment and Services requested by the Client in the \u00ab\u00a0Fiche de Plateau\u00a0\u00bb and in the summary of Services established by the Company (the \u00ab\u00a0Summary\u00a0\u00bb)) have contractual value.<\/p>\n<p>Options Request for Option Reservations will be noted as Options before their final validation by the client. The ranking of Options is assigned based on the seniority of the request. The first Client expressing interest in a date will be noted as 1st Option, and the ranking of subsequent Options will be determined by the number of requests already made by other Clients. An Option does not commit the Client to renting the requested date. It indicates interest in that date and allows the Client to inquire about availability. It also allows the Client to know their position on the requested date based on their Option ranking. For a request for an Option to be valid, it must be made by email; no requests for Options by phone will be considered.<\/p>\n<p>Challenge of the Option Any Client in 1st Option retains priority for the requested date until the Option is confirmed or canceled. However, if a Client with a lower Option rank wishes to definitively confirm before the Client in 1st Option, they have the opportunity to \u00ab\u00a0challenge\u00a0\u00bb the Client in 1st Option. For a challenge request to be valid, it must be made by email and by returning the signed Quote. No challenge requests by phone will be considered. ANY CHALLENGE REQUEST IS EQUIVALENT TO A FIRM AND DEFINITIVE RESERVATION OF THE RENTAL. In case of cancellation of a \u00ab\u00a0challenged\u00a0\u00bb date, the Quote amount is due in full. Once the Client in 1st Option is informed of the challenge, they have 24 hours (excluding weekends and public holidays) to provide a definitive response. If the Client in 1st Option definitively confirms their Option by sending the signed quote and paying the 50% deposit within the 24-hour period, the Client with the lower Option rank is informed that the date is no longer available. If the Client in 1st Option is unable to provide a definitive response or does not respond within the specified timeframe, the Option will be automatically canceled in favor of the Client who \u00ab\u00a0challenged\u00a0\u00bb said Option.<\/p>\n<p>Supplements and modifications Subject to prior approval by the Company, the initial Quote may, based on oral or written requests from the Client prior to the execution of the Services, be subject to modifications, which may result in a modification of the price and terms of execution of the Services. These modifications must be notified by the Client to the Company at least 36 hours before the scheduled date for the execution of the Services and will be the subject of an additional Quote accepted by the Client. Any additional requests from the Client, during the execution of the Services, will be validated by the Company beforehand and integrated into the Summary. In the absence of express return from the Client on the Summary within 72 hours from its issuance, the Client will be deemed to have expressly accepted it and cannot in any case contest its content or amount for any reason whatsoever.<\/p>\n<p>Service Modalities<\/p>\n<p>Duration of the Service The studios are rented for a duration of 10 hours, from 9 am to 7 pm. Beyond the agreed-upon hours, the Studio will charge additional costs until the definitive departure of the Client and their team, with the rental ending upon the departure of the last person from the team. Any portion of an hour exceeding 15 minutes will be fully charged. In case the Client wishes to start before 7 am or finish after 10 pm, the Studio reserves the right to charge taxi fees for the set assistant. In any case, the Premises must be vacated by the Client no later than 3 am.<\/p>\n<p>Cancellation The Client has the option to cancel the reservation free of charge up to 7 calendar days before the shoot; if a deposit has been paid, it will be refunded. Any order canceled less than 7 calendar days before the start of the Services will be invoiced in full. In the event of cancellation, the Studio reserves the right to charge for the rental of equipment already rented from its suppliers, the transportation costs incurred, or the purchases of consumables already made. The Studio reserves the right to cancel in case of force majeure (see Article 15) or in the absence of payment of the deposit by the Client. This cancellation shall not incur any liability on its part or entitle it to the payment of damages for any reason whatsoever.<\/p>\n<div class=\"flex flex-grow flex-col max-w-full\">\n<div class=\"min-h-&#091;20px&#093; text-message flex flex-col items-start gap-3 whitespace-pre-wrap break-words &#091;.text-message+&#038;&#093;:mt-5 overflow-x-auto\" data-message-author-role=\"assistant\" data-message-id=\"d59aae1a-4816-4caf-bfb9-989b414ca416\">\n<div class=\"markdown prose w-full break-words dark:prose-invert light\">\n<p>6.3 Conditions of Use The Client agrees to use the rented goods in accordance with their intended purpose and French legislation. The Client undertakes, on the one hand, to respect (and to ensure that their representative, agents, and any third parties involved in the provision of the Service(s) respect) the Premises, equipment, materials, and accessories made available to them and, on the other hand, to behave diligently and reasonably. Any use by the Client of the Premises, equipment, materials, and accessories that may damage the said Premises, equipment, materials, and accessories or create nuisances must be previously and expressly validated by the Company (including water, fire, explosives, pigments, animals, vehicles, music, smoke, sand). The Client, their representatives, or agents are responsible for any damage. 6.3.1 Before rental The premises are taken as is and must be returned in the same condition. The Client hereby declares that they are aware of and personally responsible for any compliance and safety measures, particularly for the needs of their shots. Equipment is checked before being made available in the studio. The Client declares that they personally had the opportunity to check the rented equipment, find it suitable for their needs, and in good working condition. In case of error, the client agrees to inform the Studio as soon as possible, namely within a maximum of 2 hours after the rental. In case of technical problems or equipment failure during the Service, the Studio undertakes to do everything possible to repair or replace it with equivalent equipment. Therefore, the Client or their representatives must inform the Studio as soon as possible to allow it to replace the equipment in time. No claims at the end of the Service will be considered. In the absence of a designated person, all individuals present in the studio will be considered as authorized by the Client to incur expenses on their behalf. 6.3.2 Rental commencement The Studio authorizes the client to make the necessary arrangements for their shots, but any permanent fixture is excluded. It is strictly forbidden to stick, nail, or paint on the floors and walls of the studios. It is strictly forbidden to shoot or film in the lobby or courtyard of the buildings. For common areas of buildings not owned by the Studio, prior authorization is required from the owner. The Client agrees to use the equipment in accordance with its intended purpose and not to make any modifications or repairs to the rented equipment without prior agreement from the Studio. The use of rented equipment is limited to within the Studio Premises. They must not be used outside the studio without prior authorization from the Studio. Equipment ordered by the Studio on behalf of the Client remains the responsibility of the Client. 6.3.3 Studio return The Client agrees to return the premises and the equipment entrusted to them in the condition in which they received them, this condition being presumed to be in accordance with the intended use. The Client is solely responsible for any damage or destruction (total or partial) of the Premises and the equipment made available to them. Any technical issues or damage to the Premises must be reported immediately to the Studio manager. In case of damage to the rented premises by the Client, the restoration costs will be fully charged to them. In case of breakage or loss, the damaged or missing equipment will be billed to the Client. The amount charged will correspond either to the purchase price or the repair price.<\/p>\n<p>Article 7. Prices and payment terms<\/p>\n<p>7.1 Rates The price of the Services is indicated in euros excluding taxes. The Studio accepts payments only in euros and by bank transfer. VAT is invoiced on all Services in the EU zone. For photo shoots, two types of rates are applied when renting studios: Regular rate: studio rate valid only if the lighting equipment rental goes through our services. Dry rental rate without equipment: rate applied when the lighting equipment rental is done through an external provider, in which case the studio price is increased by 100%. The rates practiced by the Studio may be revised at any time and without notice, depending on the prevailing economic conditions. The rental rates set by the Studio are determined based on the rates in effect on the day of the reservation. The studio occupancy time is billable:<\/p>\n<ul>\n<li>Per day: From 9 am to 7 pm (10 hours rental).<\/li>\n<li>For overtime: Between 7 am and 9 am or 7 pm and 10 pm.<\/li>\n<li>For night rate: Between 10 pm and 7 am.<\/li>\n<li>For weekends and public holidays: A 25% surcharge on the weekday rate. The use of the Company&rsquo;s Premises is billed per day for a duration of 10 hours. Beyond 10 hours, the occupancy time (including the time for which the\n<div class=\"flex flex-grow flex-col max-w-full\">\n<div class=\"min-h-&#091;20px&#093; text-message flex flex-col items-start gap-3 whitespace-pre-wrap break-words &#091;.text-message+&#038;&#093;:mt-5 overflow-x-auto\" data-message-author-role=\"assistant\" data-message-id=\"6c63a1af-40ed-4316-92cf-9c75aad64ce7\">\n<div class=\"markdown prose w-full break-words dark:prose-invert light\">\n<p>Presence of the Client in the Premises, the storage of the equipment used, and\/or, if applicable, the restoration of the Premises) will be invoiced as overtime, in increments of 30 minutes. The Premises must, in any case, be vacated by the Client by 03:00 in the morning, unless expressly authorized in advance by the Company. The Studio draws the Client&rsquo;s attention to the fact that the confirmed estimate does not correspond to the invoice, and that the amount is subject to change depending on orders placed subsequent to the estimate.<\/p>\n<p>7.2 Invoicing Unless otherwise agreed, the Services are invoiced based on the rates mentioned in the initial Estimate, supplemented, if necessary, by additional Estimates, the Equipment Sheet, as well as the Recapitulation.<\/p>\n<p>7.3 Payment Terms Unless otherwise specified on the Estimate, the Client shall pay the Company a deposit corresponding to 50% of the total price of the Service(s) ordered upon signing the Estimate. The balance, corresponding to the remaining 50%, must be paid by the Client prior to the commencement of the Services. The balance of the price, determined based on the Recapitulation, shall be paid by the Client within a maximum period of 30 calendar days from the date of receipt of the corresponding invoice. The Company reserves the right to include in its Estimates a provision corresponding to additional expenses incurred by the Services (such as, for example, catering costs, electricity, painting the rented set in white) up to 10% of the total Estimate, it being specified that the Recapitulation will only mention expenses actually incurred by the Company on behalf of the Client or, as the case may be, incurred by the Client in the context of the provision of the Services. In the event that the advances received exceed the amount of the Recapitulation, the Company undertakes to reimburse the difference within 30 calendar days. Only the actual receipt of an invoice constitutes payment. Payments may not be suspended or subject to any compensation without the prior written agreement of the Company. The Company may, if necessary, declare immediately due and payable any sum for which it had granted the Client a payment term, automatically and without prior notice or notification. No dispute whatsoever regarding the invoicing based on the validated Recapitulation will be accepted by the Company. Payment of invoices may not be delayed for any reason whatsoever.<\/p>\n<p>7.4 Late Payment Any amount not paid by the due date shall automatically, without prior notice or notification, give rise to late payment interest in addition to a lump sum indemnity for recovery costs of \u20ac40. Interest shall be calculated from the due date until the date of full payment, at a rate equal to 3 times the legal interest rate in force at that date. In the event that the expenses incurred for recovery exceed \u20ac40, the Company reserves the right to claim additional compensation from the Client upon justification.<\/p>\n<p>Article 8. Execution of Services<\/p>\n<p>8.1 Client Assistance Services are performed within the agreed deadlines with the Client. The Client undertakes to provide the Company with the assistance and means necessary for the performance of the Services (including, by providing any useful information and\/or documentation). The Client also undertakes to provide the Company, prior to each Service, with a call sheet specifying the names and functions of the persons present on the rented set. These persons shall be deemed authorized by the Client to incur any expenses with the Company, without the Client being able to contest these expenses. However, the Client may formally designate to the Company one person authorized to incur expenses on its behalf. In the absence of a call sheet or designated person, all persons present on the rented set will be considered authorized by the Client. Subject to informing the Company at least 72 hours before the start of the Services, the number of persons present on the rented set may not vary by more than 10%. In any case, the Company must comply with the capacity prescribed by the Studio for safety reasons.<\/p>\n<p>8.2 Delay and\/or Suspension of Services The Company is not responsible for delays in performance and\/or suspension of Services attributable (i) to the Client due to a failure to fulfill its obligations of assistance, information, or prior verification, and\/or (ii) to a modification of the order during the performance of the Services or less than 36 hours before the start of the Service, and\/or (iii) to late payment by the Client. In accordance with the applicable collective agreement for the Company&rsquo;s employees, any Service lasting more than 12 hours must be scheduled at least 24 hours in advance.<\/p>\n<p>8.3 Couriers and Deliveries<\/p>\n<ul>\n<li>Delivery of shopping or decor elements The delivery of shopping and decor elements must take place no earlier than the day before the service, during the Studio&rsquo;s opening hours. The Client must inform the Studio in advance so that sufficient storage space, subject to availability, can be reserved. The Studio reserves the right to refuse parcels in the absence of references, as well as parcels of very high value (Example: jewelry, etc.).<\/li>\n<li>\n<div class=\"flex flex-grow flex-col max-w-full\">\n<div class=\"min-h-&#091;20px&#093; text-message flex flex-col items-start gap-3 whitespace-pre-wrap break-words &#091;.text-message+&#038;&#093;:mt-5 overflow-x-auto\" data-message-author-role=\"assistant\" data-message-id=\"46be99ad-566a-4d05-bce4-44c9dd79f2cb\">\n<div class=\"markdown prose w-full break-words dark:prose-invert light\">\n<p>The retrieval of shopping items at the end of the rental For security and storage management reasons, the Client is invited to collect the shopping items, decor, and\/or equipment at the end of the photo shoot. Any equipment, material, or accessory not retrieved by the Client within a maximum period of 48 hours following the end of the Services will be disposed of, and additional charges will apply, unless expressly authorized in advance by the Company. For security reasons, it is reminded that the Client, its representatives, and users are responsible for the couriers they engage and undertake to settle any sums due, regardless of their nature, in connection with deliveries and\/or orders they organize. In this regard, they undertake to deposit and collect their packages at the reception of the Company, as couriers are not authorized to circulate within the Premises. In the absence of the Client, the stamp affixed by the Company shall not engage the liability of the Company and shall not constitute a receipt or acceptance of the goods under any circumstances. In the event that the Company is billed for any amount in connection with any delivery and\/or orders initiated by the Client and organized by the Client, the Company will bill the Client for said amounts applying a penalty of 200%, without possible objection from the Client in this regard.<\/p>\n<p>8.4 Catering and Beverages The Studio does not handle the organization of production team catering. It provides a kitchenette with access to water and refrigeration, but it is not intended for cooking. No cooking is allowed. Caterers are required to take care of their waste and to leave the kitchenette clean. The Assistant Plateau, as an integral part of the Client&rsquo;s team, will have their meal costs borne by the Client.<\/p>\n<p>Article 9. Protection of Personal Data<\/p>\n<p>During the performance of the Services, the Parties may transmit files containing personal data within the meaning of the French Data Protection Act No. 78-17 of January 6, 1978, as amended, and the European Regulation 2016\/679 of April 27, 2016 (the \u00ab\u00a0GDPR\u00a0\u00bb). The Parties shall take all organizational, technical, software, and physical measures necessary in terms of digital security to preserve, under optimal security and confidentiality conditions, the personal data that they may collect and\/or process in the performance of the order. The Studio cannot be held to a result obligation in this respect. Furthermore, the Parties shall only keep and\/or process this data for the strict performance of the order and shall ensure that this data retains its full integrity and is not, in particular, distorted, damaged, or accessible to third parties not expressly authorized. The Parties also undertake not to transfer this data outside the European Union without the prior written agreement of the other Party, unless such transfers comply with the guarantees defined in Articles 44 and following of the GDPR. In no case shall the data collected by either Party be transferred or sold to third parties. The Client is informed that the collection of their personal data is necessary for the administrative management of the rental of a studio. Unless expressly agreed by the Client, their personal data are not used for advertising or marketing purposes, and the Client undertakes the same. Finally, the Parties shall retain the data collected for a period of 5 years, covering the time limit for the prescription of the applicable contractual civil liability. Moreover, if either Party becomes aware of the existence of a personal data breach, each Party undertakes vis-\u00e0-vis the other Party to notify this incident within a maximum period of 48 hours from the date of becoming aware of this breach and to provide said Party with the information enabling it to fulfill its notification obligations to the CNIL, within the deadline set by Article 33 of the GDPR. Finally, the Parties have the right to access, rectify, object to, delete, rectify, and portability of the data concerning them or their employees, as well as the right to object to processing for legitimate reasons. If necessary, this period may be extended by two months, taking into account the complexity and number of requests. The Client is informed that in case of refusal, they can lodge a complaint with the CNIL (3 place de Fontenoy, 75007 PARIS) or bring legal action.<\/p>\n<p>Article 10. Video Surveillance<\/p>\n<p>The Studio is, for certain areas, under video surveillance for the safety of persons and property. The images are kept for one week and may be viewed, in the event of an incident, by authorized personnel of the Company and by law enforcement. Obligations of the Parties<\/p>\n<p>The Company undertakes to provide the Client with premises, equipment, materials, or accessories in good working order. The Client agrees to return them in the same condition. Otherwise (especially in case of intentional or unintentional damage by the Client), the costs of repair and restoration will be fully invoiced to the Client. The Client agrees to ensure that the premises, equipment, materials, or accessories are used only by authorized and competent persons. All materials provided by the Company as part of the Services must be replaced, at the Client&rsquo;s sole expense (understood that the Client acknowledges being fully informed of the value of the equipment he rents and is in charge of), with equipment of equivalent characteristics and performance to the damaged equipment in case of intentional damage, theft without forced entry, unexplained disappearance, or diversion. Furthermore, in case of theft, the client must, under his responsibility, make a report to the nearest police station and to his insurance company as soon as possible. A copy of this complaint must be sent to the Company. More generally, in the event that the Client directly manages certain aspects of the Service and\/or directly performs certain operations (for example, by using an external provider) and\/or directly uses equipment and\/or certain equipment and accessories belonging to him or belonging to the Company, in connection with the Service, the Company&rsquo;s liability would be totally released in the context of these operations.<\/p>\n<p>The Client also undertakes to take all security measures for the property, whatever they may be, that he brings into the premises and that do not belong to the Company, and to inform the Company beforehand. The Studio cannot be held responsible for any direct or indirect damage possibly suffered by the tenant in case of impossibility of using the studio or equipment on the scheduled day of the shoot, due to any reason beyond its control.<\/p>\n<p>Article 12. Guarantees<\/p>\n<p>The Services are deemed to be in accordance with the Estimate and the Summary. The Company guarantees the Client against any lack of conformity of the Services and any hidden defect resulting from a defect in the performance of said Services, excluding any negligence or fault of the Client. The liability of the Company can only be sought in the event of proven fault or negligence of the Company. In this case, the Company will rectify, at its sole expense, according to the modalities agreed with the Client, the non-conforming or defective Services. In any event, the liability of the Company is limited to direct damages, excluding any indirect damages, and to the amount excluding taxes paid by the Client for the provision of the Services.<\/p>\n<p>Article 13. Liability<\/p>\n<p>Furthermore, the Company cannot be held liable, under any circumstances, for damages and\/or nuisances caused by a third party or attributable to improper use or non-conforming use by the Client of the premises, equipment, materials, or accessories made available to him. Likewise, the Company cannot be held responsible, under any circumstances, for any bodily, material, and immaterial damage occurring on the premises as well as for any theft, damage, or loss that may occur to cash, equipment, accessories, clothing, or any other property (including animals) that the Client, his representative, and\/or his agents bring into the premises and that do not belong to the Company. Consequently, it is the responsibility of the Client, his representative, and\/or his agents to personally take out all necessary insurance to cover all risks not covered by the Company&rsquo;s insurance (in particular the risks mentioned above) and to present the corresponding certificate(s) at the Company&rsquo;s first request (including any professional liability insurance certificate). The Client is responsible for all material or bodily damages suffered by third parties due to his actions, and those resulting from an act committed by him, one of his employees, or his guests. He is also responsible for any criminal offenses committed by him or his guests. The Company cannot be held responsible for the loss or deterioration of images or computer data used by the Client or obtained through equipment made available to him. In the event of any fault attributable to the Company, its liability shall not exceed the provision of the same technical means made available to the Client, to enable him to reconstitute the lost or damaged data. The use of the parking lot made available to the Client shall not engage the liability of the Company. Finally, the Studio shall not incur any liability towards the client in case of breakdown or malfunctioning of the rented property independent of its will.<\/p>\n<p>Article 14. Insurance<\/p>\n<p>The Company&rsquo;s equipment is rented with insurance, with a deductible of \u20ac1,000 in case of accidental and unforeseeable damages. However, this insurance does not cover loss and theft occurring<\/p>\n<div class=\"flex flex-grow flex-col max-w-full\">\n<div class=\"min-h-&#091;20px&#093; text-message flex flex-col items-start gap-3 whitespace-pre-wrap break-words &#091;.text-message+&#038;&#093;:mt-5 overflow-x-auto\" data-message-author-role=\"assistant\" data-message-id=\"37b1874a-9b4e-40a7-ad76-bc25b20cd49f\">\n<div class=\"markdown prose w-full break-words dark:prose-invert light\">\n<p>Under no circumstances against which the Client is required to insure personally, with no recourse against the Company. The Client is responsible for all persons present at the location of the Service and for the consequences of their actions. These individuals must have taken out their own insurance.<\/p>\n<p>Article 15. Force Majeure &#8211; Impediment<\/p>\n<p>Neither Party shall be deemed to have failed in its obligations to the extent that their performance is delayed, hindered, or prevented by an unforeseeable event or force majeure within the meaning of Article 1218 of the Civil Code. Specifically, unforeseeable events or force majeure shall include, in addition to those usually recognized by jurisprudence: blockage of transportation or supply means, earthquakes, fires, storms, floods, lightning, power outage on the external electrical supply network, or lack of transportation preventing the delivery of equipment or the provision of Services, and any event leading to the complete or partial destruction of the premises. The Party invoking the occurrence of a force majeure event must notify the other Party, without delay, by registered letter with acknowledgment of receipt. The Parties will then consult within a period of one month, unless impossible due to force majeure, to assess the impact of the event and agree on the conditions under which the contract will be continued. In the event of force majeure, the performance of the contract will be suspended for the entire duration of the force majeure if it is temporary. If the impediment becomes permanent, the contract will be terminated automatically.<\/p>\n<p>Article 16. Applicable Law &#8211; Competent Jurisdiction<\/p>\n<p>The T&#038;C are written in French. In case of translation, only the French text shall prevail. The contractual relations between the parties to which these general terms and conditions apply are governed exclusively by French law. In the event of a dispute, the Parties shall attempt to reach an amicable agreement. Failing that, the parties undertake to resort to mediation before any action before the competent court.
